TERMS & CONDITIONS

These Terms and Conditions (“Terms”) govern your use of the HVAC Launch Pad website and any products, services, design work, website development, consulting, templates, digital materials, subscriptions, hosting, marketing services, or related services provided by HVAC Launch Pad (“HVAC Launch Pad,” “we,” “us,” or “our”).

By accessing our website, purchasing a service, submitting payment, approving a proposal, or otherwise engaging HVAC Launch Pad, you (“Client,” “Customer,” “you,” or “your”) agree to these Terms.

If you do not agree with these Terms, you should not use our website or purchase our services.

1. SERVICES

HVAC Launch Pad provides branding, website design and development, website templates, marketing materials, digital setup services, consulting, business launch resources, and other services primarily intended for HVAC contractors and related home-service businesses.

Specific services, deliverables, pricing, timelines, and project requirements may be described in a proposal, invoice, order form, service package, statement of work, or other written agreement.

If there is a conflict between these Terms and a signed project-specific agreement, the project-specific agreement will control for that project.

2. SERVICE PACKAGES AND TEMPLATES

HVAC Launch Pad may offer pre-designed branding systems, website layouts, website templates, marketing materials, or other standardized components that can be customized for individual Clients.

Unless expressly stated otherwise, purchasing a template-based package does not provide the Client with exclusive ownership of the underlying template, layout, framework, design system, codebase, process, or structure.

HVAC Launch Pad may reuse, license, modify, or sell similar templates, layouts, components, processes, or design concepts to other customers, including businesses operating within the same industry.

Client-specific business names, logos, photographs, written content, contact information, and other proprietary materials supplied by or uniquely created for the Client will not be intentionally provided to another Client.

3. CLIENT RESPONSIBILITIES

The Client is responsible for providing all information, content, approvals, credentials, photographs, logos, product or service information, pricing, legal disclosures, licensing information, and other materials reasonably required to complete the project.

The Client represents that all materials supplied to HVAC Launch Pad may legally be used for the project.

The Client is responsible for reviewing all work for accuracy before approval or publication, including:

  • Company names and contact information
  • Pricing
  • Service descriptions
  • Licensing information
  • Warranty claims
  • Promotions
  • Financing information
  • Product claims
  • Addresses
  • Telephone numbers
  • Legal disclosures
  • Spelling and grammar
  • Industry-specific compliance requirements

HVAC Launch Pad is not responsible for losses arising from inaccurate information supplied or approved by the Client.

4. CLIENT DELAYS

Project schedules depend on timely communication, content delivery, approvals, and feedback from the Client.

If the Client fails to provide requested materials, feedback, approvals, or access within a reasonable period, HVAC Launch Pad may postpone the project timeline.

Projects inactive because of Client delay for more than 30 days may be placed on hold.

Projects inactive for more than 60 days may require a restart fee before work resumes.

HVAC Launch Pad may consider a project abandoned after 90 days of Client inactivity. Payments already made will not be refundable in such circumstances.

5. PAYMENT TERMS

Prices will be provided through the HVAC Launch Pad website, proposal, invoice, checkout page, or other written agreement.

Unless otherwise stated, deposits and initial project payments are non-refundable because they reserve production time and may cover planning, onboarding, template licensing, design, setup, administrative costs, or work already performed.

Final balances must be paid before final files, website ownership, administrative access, source materials, or other final deliverables are released unless otherwise agreed in writing.

HVAC Launch Pad may suspend services, withhold deliverables, disable access to services under its control, or postpone publication when an account is past due.

The Client is responsible for applicable taxes unless otherwise stated.

6. RECURRING SERVICES

Certain services may be offered on a monthly, annual, or other recurring basis, including website maintenance, hosting, software management, marketing services, SEO, support, or similar services.

Recurring services will continue until canceled according to the applicable service agreement.

Unless stated otherwise, cancellation prevents future renewals but does not entitle the Client to a refund for services already billed or provided.

HVAC Launch Pad may modify recurring service pricing upon reasonable notice.

7. CANCELLATIONS AND REFUNDS

Because HVAC Launch Pad provides professional services, customized work, digital products, and reserved production time, payments may become non-refundable once work begins.

If a Client cancels a project before completion, the Client remains responsible for payment for all work completed, expenses incurred, software or licensing costs purchased for the project, and any applicable cancellation charges.

Digital templates, downloadable materials, domain registrations, software licenses, setup charges, strategy work, deposits, and completed services are generally non-refundable except where required by law.

Any refund issued by HVAC Launch Pad is at our discretion unless otherwise required by applicable law or a written agreement.

8. REVISIONS

Each service package may include a specified number of revision rounds.

A revision means a reasonable modification to an existing concept or deliverable. A revision does not include a complete change in project direction, a new design concept, significant new functionality, or work outside the originally agreed scope.

Additional revisions or scope changes may be billed separately.

HVAC Launch Pad may provide a written estimate before performing substantial work outside the original project scope.

9. PROJECT APPROVAL

The Client is responsible for reviewing deliverables and notifying HVAC Launch Pad of requested corrections before final approval.

Approval may be provided through email, project management software, text message, electronic approval system, payment of a final invoice, publication authorization, or another reasonably documented method.

Once a design, website, file, or other deliverable has been approved, additional changes may be billed separately.

HVAC Launch Pad is not responsible for errors discovered after final approval.

10. WEBSITE DEVELOPMENT

Website projects may involve WordPress, third-party themes, plugins, page builders, hosting companies, APIs, software platforms, payment processors, scheduling systems, CRM platforms, analytics systems, or other third-party technology.

HVAC Launch Pad does not control these third-party systems and cannot guarantee that they will remain available, compatible, secure, supported, or unchanged.

Future software updates may create compatibility problems that require additional maintenance or development.

Unless an ongoing maintenance agreement specifically provides otherwise, future updates, repairs, security monitoring, backups, troubleshooting, and compatibility work are not included after the project has been completed.

11. DOMAIN NAMES AND HOSTING

When HVAC Launch Pad assists with domain registration, hosting, DNS settings, email, or related services, those services may ultimately be provided by third parties.

The Client is responsible for maintaining current payment information and renewing services that are registered in the Client’s name.

HVAC Launch Pad is not responsible for expired domain names, third-party hosting outages, email failures, DNS failures, service interruptions, hacked accounts, third-party security incidents, or losses resulting from services outside our direct control.

If HVAC Launch Pad directly provides hosting or managed website services, additional hosting or maintenance terms may apply.

12. THIRD-PARTY FEES

Unless specifically included in a package, the Client is responsible for third-party expenses including but not limited to:

  • Domain registration
  • Website hosting
  • Premium plugins
  • WordPress themes
  • Stock photography
  • Fonts
  • CRM platforms
  • Email services
  • Call tracking
  • Scheduling software
  • Advertising platforms
  • Payment processing
  • Software subscriptions
  • Automation platforms
  • SMS services
  • Analytics services

Third-party companies may change their pricing or policies independently of HVAC Launch Pad.

13. INTELLECTUAL PROPERTY

Upon full payment, the Client receives ownership or the applicable license rights to final custom deliverables specifically created for the Client, subject to the exceptions below.

HVAC Launch Pad retains ownership of:

  • Pre-existing intellectual property
  • Templates
  • Frameworks
  • Reusable code
  • Website structures
  • Processes
  • Systems
  • Development methods
  • Internal tools
  • Design methodologies
  • Unused concepts
  • Working files unless specifically included
  • Proprietary resources
  • General knowledge and techniques

Third-party assets remain subject to their respective licenses.

The Client may not resell, redistribute, sublicense, copy, or commercially distribute an HVAC Launch Pad template, design system, website framework, or other reusable asset as a standalone product unless written permission has been provided.

14. PORTFOLIO RIGHTS

Unless otherwise agreed in writing, HVAC Launch Pad may display completed or publicly released work in its portfolio, website, social media accounts, presentations, marketing materials, case studies, or promotional materials.

Confidential information will not knowingly be disclosed as part of such use.

Clients who require confidentiality or white-label restrictions should notify HVAC Launch Pad before the project begins.

15. CLIENT-SUPPLIED CONTENT

The Client grants HVAC Launch Pad permission to use, modify, reproduce, and publish Client-supplied content solely as reasonably necessary to complete the requested services.

The Client represents that it owns or has permission to use all content supplied to HVAC Launch Pad.

This includes photographs, logos, trademarks, testimonials, video, text, graphics, product information, and other materials.

The Client agrees to indemnify HVAC Launch Pad against claims resulting from materials supplied by the Client that infringe another party’s intellectual property or other legal rights.

16. TRADEMARKS AND BUSINESS NAMES

HVAC Launch Pad may assist with naming, branding, logo design, domain searches, or similar services.

However, HVAC Launch Pad does not provide trademark clearance or legal opinions regarding the availability or registrability of a business name, logo, slogan, domain, or trademark.

The Client is responsible for conducting appropriate legal searches and obtaining professional trademark advice before adopting or registering a brand.

17. HVAC LICENSING AND REGULATORY COMPLIANCE

The Client is solely responsible for ensuring that its business complies with all federal, state, county, municipal, licensing, advertising, consumer protection, contracting, environmental, employment, tax, insurance, and HVAC industry requirements applicable to its business.

HVAC Launch Pad does not provide legal, tax, accounting, licensing, engineering, or regulatory advice.

The Client is responsible for determining whether license numbers, disclosures, disclaimers, warranties, terms, financing disclosures, or other information must appear on its website or advertising materials.

18. MARKETING AND BUSINESS RESULTS

HVAC Launch Pad may provide branding, marketing, advertising, SEO, website, conversion, lead-generation, business strategy, or related recommendations.

However, HVAC Launch Pad does not guarantee:

  • A specific number of leads
  • Search engine rankings
  • Revenue
  • Sales
  • Profitability
  • Customer acquisition
  • Conversion rates
  • Website traffic
  • Advertising performance
  • Business growth
  • Return on investment
  • Business success

Business results depend on numerous factors outside the control of HVAC Launch Pad.

Any projections, examples, case studies, estimates, or marketing statements are illustrative and are not guarantees of future performance.

19. SEARCH ENGINE OPTIMIZATION

Search engines control their own algorithms, indexing systems, ranking methodologies, and search results.

HVAC Launch Pad cannot guarantee that a website will rank in a particular position or remain indexed by any particular search engine.

Search rankings may change without notice.

20. ADVERTISING PLATFORMS

When HVAC Launch Pad provides services involving Google, Meta, Microsoft, Yelp, social media platforms, or other advertising providers, the Client acknowledges that these platforms operate independently.

HVAC Launch Pad cannot guarantee approval of advertisements, accounts, profiles, products, claims, promotions, or campaigns.

HVAC Launch Pad is not responsible for account suspensions, platform policy changes, rejected advertisements, algorithm changes, or actions taken by third-party platforms.

21. ACCESSIBILITY

HVAC Launch Pad may use reasonable design and development practices intended to improve website usability and accessibility.

However, unless accessibility compliance services are expressly included in the project agreement, HVAC Launch Pad does not guarantee compliance with any particular accessibility law, regulation, standard, or guideline.

Clients requiring specific accessibility compliance should request those services separately and obtain appropriate legal guidance regarding their obligations.

22. WEBSITE SECURITY

No website or internet-connected system can be guaranteed to be completely secure.

Unless expressly included in an ongoing service agreement, HVAC Launch Pad does not guarantee protection from hacking, malware, ransomware, data breaches, denial-of-service attacks, credential theft, software vulnerabilities, or other cybersecurity incidents.

Clients are responsible for maintaining appropriate passwords, administrative access controls, backups, security software, and internal security practices.

23. BACKUPS AND DATA

Clients are responsible for maintaining copies of important business information and digital assets unless backup services are specifically included in a written agreement.

HVAC Launch Pad will not be responsible for loss of data caused by third-party systems, software errors, hosting failures, Client actions, malicious activity, or events beyond our reasonable control.

24. CONFIDENTIALITY

Each party agrees to use reasonable care to protect confidential business information received from the other party.

Confidential information does not include information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.

25. PROHIBITED USE

Clients may not use HVAC Launch Pad services or deliverables for unlawful, fraudulent, deceptive, defamatory, malicious, or infringing activities.

HVAC Launch Pad reserves the right to refuse or terminate services when we reasonably believe services are being used unlawfully or in violation of these Terms.

26. RIGHT TO REFUSE SERVICE

HVAC Launch Pad reserves the right to decline or discontinue a project when reasonably necessary, including situations involving nonpayment, abusive conduct, unlawful activity, repeated failure to communicate, violation of these Terms, or requests outside our professional capabilities.

If HVAC Launch Pad terminates a project without Client breach, any refund will be determined based on services already performed and expenses already incurred.

27. WARRANTIES

HVAC Launch Pad will perform professional services using commercially reasonable care.

Except as expressly stated in writing, services and deliverables are provided “as is” and “as available.”

To the fullest extent permitted by law, HVAC Launch Pad disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

28. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, HVAC Launch Pad will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost opportunities, business interruption, or reputational damages.

To the fullest extent permitted by law, HVAC Launch Pad’s total liability arising from a particular service or project will not exceed the amount actually paid by the Client to HVAC Launch Pad for the specific service giving rise to the claim.

Some jurisdictions may not permit certain limitations of liability, in which case those limitations will apply only to the maximum extent permitted by law.

29. INDEMNIFICATION

The Client agrees to defend, indemnify, and hold harmless HVAC Launch Pad and its owners, employees, contractors, affiliates, and representatives from claims, damages, losses, liabilities, and reasonable expenses arising from:

  • Client-supplied content
  • Client business practices
  • Client products or services
  • Client violations of law
  • Client infringement of third-party rights
  • Misrepresentations made by the Client
  • The Client’s use of deliverables
  • Information published at the Client’s direction

30. FORCE MAJEURE

HVAC Launch Pad will not be liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, fires, severe weather, utility failures, internet outages, labor disruptions, illness, government actions, war, terrorism, civil unrest, cybersecurity incidents, third-party software failures, or other similar events.

31. INDEPENDENT CONTRACTOR

HVAC Launch Pad operates as an independent contractor.

Nothing in these Terms creates an employment relationship, partnership, joint venture, franchise, agency relationship, or fiduciary relationship between HVAC Launch Pad and the Client.

32. DISPUTES

Before initiating formal legal proceedings, both parties agree to make a reasonable good-faith effort to resolve disputes informally.

A Client asserting a dispute should provide written notice describing the issue and requested resolution.

Nothing in this section prevents either party from pursuing remedies available under applicable law.

33. GOVERNING LAW

These Terms will be governed by the laws of the State of [STATE], without regard to conflict-of-law principles.

Any legal proceeding relating to these Terms will be brought in the appropriate courts located in [COUNTY], [STATE], unless otherwise required by applicable law.

34. ELECTRONIC COMMUNICATIONS

The Client agrees that electronic communications, approvals, invoices, contracts, and signatures may be used in connection with HVAC Launch Pad services.

Electronic records and approvals may be treated as written communications to the extent permitted by applicable law.

35. CHANGES TO THESE TERMS

HVAC Launch Pad may update these Terms periodically.

The revised Terms will become effective when posted with an updated “Last Updated” date unless otherwise stated.

Changes to these website Terms will not retroactively alter the material terms of an existing signed project agreement unless both parties agree otherwise.

36. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.

The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.

37. ENTIRE AGREEMENT

These Terms, together with applicable proposals, invoices, statements of work, service agreements, and other written agreements between HVAC Launch Pad and the Client, constitute the agreement between the parties regarding the applicable services.
